General Terms and Conditions

1. Purpose

These General Terms and Conditions (GTC) govern the contractual relations between Skilld Consulting SA (hereinafter “the Service Provider”) and its clients (hereinafter “the Client”), within the framework of the provision of services such as Assessment Centers, HR advice, training, or any other agreed service.

2. Pricing and offer validity

2.1. Prices are indicated in CHF, excluding VAT, unless otherwise stated.
2.2. Any offer is valid for a period of 30 days from its date of issue, unless otherwise stated in the offer.

3.1. Invoices are issued at the end of the service or according to the schedule defined in the offer.
3.2. The payment period is set at 30 days from the date of issue of the invoice.
3.3. In the event of late payment, late payment interest of 0.5% per month may apply.
3.4. All bank or exchange fees related to payment are the responsibility of the Customer.

4.1. The Client undertakes to provide the Service Provider with all information and documents necessary for the proper execution of the mandate.
4.2. Any delay or failure in collaboration may result in adjustments to the timeframes or costs of the service.

5.1. Unless explicitly stated otherwise by the Client, the Service Provider is authorized to mention the name of the Client and the type of services performed as a reference in its marketing materials.
5.2. The details of the services performed are subject to the prior written agreement of the Client.

6.1. The parties undertake to keep strictly confidential all information exchanged within the framework of the mandate, except in the event of a legal obligation or prior written consent.
6.2. This obligation remains in force after the end of the contract.

7.1. Any modification or cancellation of a mandate must be the subject of a written agreement between the parties.
7.2. In the event of cancellation or postponement by the Client of the date initially agreed within a period of less than 72 working hours, 50% of the total amount of the Assessment will be invoiced.

8.1. The reports and deliverables produced by the Service Provider are intended exclusively for internal use by the Client or for the direct needs of the candidate being assessed.
8.2. The reports may be used by candidates for their personal purposes (e.g. applying for a job), but the Client undertakes not to transmit these documents to third parties, in particular to competing companies or for commercial purposes, without the prior written consent of the Service Provider.
8.3. Any misuse, public dissemination, or sharing of the reports with unauthorized parties is strictly prohibited. The Provider reserves the right to take legal action in the event of non-compliance with this clause.

9.1. The Provider undertakes to provide its services with diligence and professionalism.
9.2. The liability of the Service Provider is limited to proven direct damages, up to the total amount of fees received for the mandate in question.
9.3. The Provider cannot be held liable for indirect losses, such as loss of profit or damage to reputation.

10.1. These GTC are governed by Swiss law.
10.2. In the event of a dispute, the parties undertake to seek an amicable solution before initiating legal proceedings.
10.3. The legal venue is Lausanne, Switzerland.

11.1. If any provision of these GTC is found to be void or unenforceable, the other provisions shall remain in full force and effect.
11.2. Any deviation from these GTC must be expressly agreed in writing between the parties.
